Dubai Mainland vs Free Zone: how to choose your business setup

A practical comparison for founders deciding where to incorporate in Dubai — ownership, visas, offices, taxes and total cost.

Setting up a business in Dubai starts with one question: Mainland or Free Zone? Both are fully legal jurisdictions and both allow 100% foreign ownership for most activities today — but they differ in where you can trade, how many visas you can pull, what office you must lease and what it costs to keep the licence live.

The short answer

  • Choose Mainland if you plan to sell to the UAE domestic market, open retail or clinic locations, bid on government contracts, or hire more than 6–8 people out of a flexi-desk.
  • Choose a Free Zone if you serve international or B2B clients, want the cheapest way to hold a licence and 1–3 visas, or need a specific sector cluster (media, tech, finance, logistics).

Ownership rules in practice

The 2021 Commercial Companies Law removed the mandatory 51% Emirati partner for most Mainland activities. In practice, founders in software, e-commerce, consulting and professional services now open Mainland companies at 100% ownership. A shortlist of strategic activities (defence, certain trading categories) still requires a local partner or agent — always confirm your specific activity code with the Department of Economic Development before assuming.

Visa quotas and hiring

The number of employment visas you can issue is the single most important operational difference. Mainland visa allocation is tied to your Ejari lease — around one visa per 9 square metres of office. A Free Zone flexi-desk usually caps you at 1–3 visas, which is fine for a founder plus a small team but breaks fast if you plan to scale to 10+ heads inside the first year.

Office space

Mainland requires a physical office with an Ejari tenancy contract before your licence issues. Expect AED 25,000+/year for a small serviced office in most commercial areas. Free Zones let you launch on a flexi-desk (a shared address you can use for banking and visa quota) for a fraction of the cost — this is why cash-tight founders gravitate to Free Zones first, then move to Mainland when a physical storefront or larger team becomes necessary.

Which Free Zone?

There are 45+ Free Zones in Dubai and Abu Dhabi. A few founder shortlists:

  • IFZA / Meydan — cheapest general licences, quick issuance.
  • DMCC — trading, crypto and commodities; premium reputation.
  • Dubai Internet City / Dubai Silicon Oasis — tech and SaaS.
  • DIFC / ADGM — regulated fintech and financial services.
  • Dubai Media City / twofour54 — media, content and creative.

Common failure modes

  • Opening a Free Zone to sell to UAE consumers, then realising you need a mainland distributor.
  • Underestimating visa quota — hiring your fifth employee and being blocked at the flexi-desk cap.
  • Picking the cheapest Free Zone without checking whether banks in the UAE actually open accounts for it comfortably.
